Terms of Service

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and Aumpfy. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms, our Privacy Policy, and our Acceptable Use Policy (collectively, the "Agreement"). By clicking "I accept", checking the acceptance box, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by this Agreement.

You may use the Service only if:

• You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
• You have the legal capacity to enter into binding contracts.
• You are not barred from receiving services under applicable law.
• You are using the Service for lawful business purposes only.

If you are registering on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to both you and the entity.

Waumfy provides a WhatsApp API platform ("Platform") that allows businesses to connect WhatsApp phone numbers, send and receive messages programmatically, manage broadcast campaigns, create automated workflows (Smart Reply), manage contact address books, and integrate with third-party services via webhooks and custom API actions.

The Service is provided "as is" and "as available". We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice, except in cases of emergency or legal requirement.

To access the Service, you must create an account by providing accurate, current, and complete information. You agree to:

• Keep your login credentials and API keys strictly confidential.
• Not share your account with any third party.
• Notify us immediately at info@aumpfy.com upon discovering any unauthorised use of your account.
• Accept full responsibility for all activity conducted through your account.
• Ensure that your account information remains accurate and up to date.

We will not be liable for any loss or damage arising from your failure to safeguard your account credentials. We reserve the right to suspend or terminate accounts where we suspect unauthorised or fraudulent access.

You agree to use the Service solely for lawful, legitimate business communication. You represent and warrant that:

• All recipients of messages sent through the Service have explicitly opted in to receive communications from you.
• You maintain accurate records of opt-ins and will provide them to us upon request.
• You will honour all opt-out requests promptly and not re-message contacts who have unsubscribed.
• All content you send complies with applicable local, national, and international laws.
• You will comply with WhatsApp's Business Policy and Terms of Service at all times.

You must not use the Service to:

• Send unsolicited bulk messages (spam) to individuals who have not consented to receive them.
• Distribute illegal, harmful, abusive, defamatory, obscene, or fraudulent content.
• Conduct phishing, smishing, vishing, or any other form of social engineering attack.
• Impersonate any person, organisation, or entity.
• Promote or facilitate illegal activities, including gambling, drug sales, or financial fraud.
• Transmit viruses, malware, or any code designed to disrupt or harm systems.
• Reverse engineer, decompile, or attempt to extract source code from the Platform.
• Scrape, crawl, or extract data from the Service using automated means without our written consent.
• Circumvent rate limits, quotas, IP blocks, or other access controls.
• Resell, sublicense, or white-label the Service without our prior written permission.
• Use the Service in a manner that could damage, disable, or overburden our infrastructure.

Violation of this Section may result in immediate account suspension or termination without notice and without refund. We reserve the right to report violations to relevant law enforcement authorities.

Waumfy operates as an unofficial WhatsApp integration tool. You acknowledge and agree that:

• You are solely responsible for ensuring your use complies with WhatsApp's Terms of Service and Business Policy.
• WhatsApp may ban or restrict phone numbers that are used in ways that violate their policies.
• If a connected number is banned, suspended, or limited by WhatsApp due to your usage, Waumfy bears no responsibility and no refund will be issued for any unused subscription period.
• We do not guarantee that the Service will remain compatible with WhatsApp at all times, as WhatsApp may change their systems without notice.
• You will not hold us liable for any service interruption caused by changes to WhatsApp's platform, API, or policies.

Access to the full features of the Service requires a paid subscription. By subscribing, you agree to the following:

• Billing periods: Subscriptions are available on monthly, 6-month, and annual billing cycles. Fees are charged in advance for the entire selected period.
• Currency: All prices are displayed and billed in United States Dollars (USD) unless otherwise stated.
• Payment processor: Payments are processed by Razorpay. By making a payment, you also agree to Razorpay's terms and conditions.
• Auto-renewal: Subscriptions automatically renew at the end of each billing period at the then-current subscription rate. You may cancel auto-renewal from your account dashboard before the renewal date.
• Price changes: We reserve the right to change subscription prices. You will be notified at least 30 days in advance of any price change. Continued use of the Service after the effective date of a price change constitutes your acceptance.
• Refunds: All payments are non-refundable except as required by applicable law. We do not issue refunds for partial subscription periods, unused time, or if your account is terminated due to a breach of these Terms.
• Coupon codes: Promotional codes are subject to specific terms and cannot be combined unless explicitly stated. We reserve the right to revoke coupon codes in cases of misuse.

We may offer a free trial period to new users. During the trial:

• Usage is subject to the limits specified at the time of trial activation (e.g., 1 phone number, 100 messages).
• No credit card is required to activate the trial.
• The trial period is non-extendable and cannot be restarted after expiry.
• Upon trial expiry, your access will revert to the free tier or be paused until a subscription is activated.
• We reserve the right to modify or discontinue the free trial offer at any time.

We target a monthly uptime of 99.5% for the core API and dashboard, excluding scheduled maintenance. Scheduled maintenance windows will be communicated at least 48 hours in advance via email or in-app notice. We are not liable for downtime caused by:

• Changes or outages in WhatsApp's infrastructure.
• Force majeure events (natural disasters, pandemics, war, government actions).
• Failures of third-party services or internet providers.
• Actions taken by you or third parties that affect your account or connected numbers.

All rights, title, and interest in and to the Service, including but not limited to the software, codebase, user interface, branding, trademarks, logos, and documentation, are and will remain the exclusive property of Aumpfy and its licensors.

You retain full ownership of the data and content you submit to the Service ("User Content"). By using the Service, you grant us a non-exclusive, royalty-free, worldwide licence to process, store, and transmit your User Content solely as necessary to provide the Service to you.

You must not use our trademarks, logos, or brand assets without our prior written consent.

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, and not to disclose such information to third parties without prior written consent, except as required by law or as necessary to provide or receive the Service.

The Service may integrate with or link to third-party services (including WhatsApp, Razorpay, and infrastructure providers). We are not responsible for the availability, accuracy, or practices of any third-party service. Your use of third-party services is governed by their respective terms and privacy policies.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service. We do not warrant that the Service will be error-free, secure, or that any defects will be corrected.

To the maximum extent permitted by applicable law, in no event shall Aumpfy, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising from or related to these Terms or the Service shall not exceed the total fees paid by you to us in the three (3) calendar months immediately preceding the event giving rise to the claim.

You agree to defend, indemnify, and hold harmless Aumpfy and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your User Content; or (d) your violation of any third-party rights, including WhatsApp's policies.

Either party may terminate this Agreement at any time. You may close your account at any time from the account settings in your dashboard. We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

• You breach any provision of these Terms.
• We are required to do so by law or a regulatory authority.
• We reasonably believe that your use of the Service poses a risk to us, other users, or third parties.

Upon termination, your right to use the Service will immediately cease. Your data will be deleted within 30 days of account closure unless we are required by law to retain it for a longer period. Sections 11, 15, 16, 18, and 19 of these Terms will survive termination.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or a prominent in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and close your account.

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

The parties agree to first attempt to resolve any dispute informally by contacting us at info@aumpfy.com. If a dispute cannot be resolved informally within 30 days, it shall be subject to the exclusive jurisdiction of the competent courts in India.

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

These Terms, together with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Aumpfy with respect to the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written, between the parties.
